Acceptance of terms
These Terms of Service (“Terms”) govern your use of Actly, operated by Actly AI (“we”, “our”, “us”). By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use Actly.
The service
Actly is an AI-powered personal assistant that connects to your connected tools to help you manage communication, scheduling, automations, and everyday tasks. The service is provided on an “as is” basis and is currently in early access.
We reserve the right to modify, suspend, or discontinue any part of the service at any time. During early access, features may change significantly and without notice.
Plans, billing & subscriptions
Actly offers a free plan and paid plans (Pro and Enterprise). Each plan includes a daily allowance of actions and automations. Reaching a daily limit pauses that activity until the next day; you are never charged extra for exceeding a daily allowance.
Paid plans are billed in advance, monthly or yearly, and renew automatically until cancelled. Payments are processed by Lemon Squeezy, our payment provider and merchant of record; your purchase is also subject to their terms. We do not store your payment card details.
You can cancel any time to stop future charges and keep paid access until the end of the current period. We may change pricing with reasonable notice, effective from your next renewal. All payments are final and non-refundable, except where required by applicable law. Full details are in our Refund & Cancellation Policy.
Your account
You must sign in with a valid phone number to use Actly. You are responsible for maintaining the security of your account and for all activity that occurs under it.
You may not use Actly if you are under 13 years of age. You represent that all information you provide is accurate and that you have the authority to grant us the permissions you connect.
Acceptable use
You agree not to use Actly to:
- Violate any applicable law, regulation, or third-party right
- Send unsolicited messages, spam, or engage in phishing
- Attempt to gain unauthorized access to systems or other users' accounts
- Use the service to generate content that is illegal, harmful, defamatory, or harassing
- Reverse-engineer, scrape, or extract data from Actly in unauthorized ways
We reserve the right to suspend or terminate accounts that violate these rules without notice.
Google services
Actly accesses Gmail and Google Calendar on your behalf using Google's OAuth 2.0 protocol. Your use of those services is also governed by Google's Terms of Service. We are not affiliated with or endorsed by Google.
You are responsible for ensuring your use of Actly does not violate your obligations to Google or any third party whose data may appear in your Gmail or Calendar.
AI-generated content
Actly uses AI models to generate responses, summaries, and drafts. AI output can be inaccurate, incomplete, or misleading. You are solely responsible for reviewing any AI-generated content before acting on it, sending it, or sharing it.
Actly can take routine actions inside the scope and automations you approve. You are responsible for reviewing those permissions, keeping their boundaries current, and checking important output.
Intellectual property
Actly and its design, code, and branding are owned by Actly. Nothing in these Terms grants you ownership of any Actly intellectual property.
You retain ownership of all content in your Gmail and Calendar. By connecting them to Actly, you grant us a limited, revocable license to access that content solely to provide the service.
Disclaimers and limitation of liability
Actly is provided without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, or uptime guarantees.
To the fullest extent permitted by law, Actly AI shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the service, including but not limited to loss of data, missed meetings, or actions taken based on AI-generated output.
Our total liability to you for any claim shall not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim, or (b) $50 USD.
Termination
You may stop using Actly at any time and revoke Google access via your Google Account settings. We may terminate or suspend your account at our discretion, including for violations of these Terms.
Upon termination, your right to use the service ends immediately. Sections covering limitation of liability and governing law survive termination.
Governing law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration or in the courts of the jurisdiction where Actly AI operates, as required by law.
Changes to these terms
We may update these Terms. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of Actly after that date constitutes acceptance of the updated Terms.
